Please accept this letter as a follow-up to SG's meetings on November 15th,
as a pre-comment to the upcoming proposed rules on the definitions of "Swap
Dealer" and "Security-based Swap Dealer" and also in response to the
general queries about extra-territorial issues in Title VII, which are set
forth in SEC Release No. 34-63446 (File No. S7-34-10) and CFTC Proposed
Rules RIN 3038-AC95.
